Acceptance and eligibility
By creating an account, using Google sign-in, accepting an invitation, or using any Thapi service, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old, have legal capacity to enter a binding agreement, and use Thapi only for lawful transactions. If you use Thapi for a business, you confirm that you can bind that business.
Accounts and identity verification
You are responsible for accurate account information, secure credentials, and activity carried out through your account. Notify us promptly if you suspect unauthorised access.
Before creating, funding, fulfilling, or receiving payout from a protected order, Thapi may require email confirmation, BVN or NIN verification, a selfie and photo match, and a verified bank account whose name matches your legal identity.
What Thapi does
Thapi provides technology for buyers and sellers to document a transaction, fund it through an approved payment channel, track delivery, and release eligible funds after acceptance or resolution.
Thapi is not the buyer, seller, manufacturer, employer, bank, or insurer. Payment, account-resolution, identity, and safeguarded-funds services may be supplied by regulated or specialist third-party providers.
Creating and accepting orders
An order is created only when the required parties have joined, reviewed, and accepted the displayed terms. The order should clearly state the product or service, price, condition or deliverables, timeline, delivery method, evidence, and acceptance window.
The person submitting order information confirms it is complete and accurate. Each party must review the final terms before accepting or funding because submitted terms may become locked for audit and dispute purposes.
Funding, delivery, and release
A payment is treated as funded only after confirmation from the authorised payment provider. Screenshots, alerts, or frontend messages are not proof of cleared funds.
Sellers must deliver exactly as agreed and provide reasonable evidence. Buyers must inspect promptly and confirm delivery only when satisfied. Release instructions may be delayed where fraud, sanctions, compliance, chargeback, technical, or dispute checks are required.
Fees and charges
Unless a different fee is clearly displayed before confirmation, the buyer pays a 2% platform fee above the agreed order amount, and the seller pays a 2.5% platform fee deducted from the agreed order amount.
Payment-provider charges, taxes, refunds, reversals, or other disclosed costs may also apply. The complete fee breakdown shown before acceptance forms part of the order terms. Future fee changes apply prospectively, not to already funded orders unless required by law.
Disputes, refunds, and reversals
If delivery is disputed, either party should notify Thapi promptly and submit truthful evidence. We may temporarily restrict release while reviewing order terms, communications, delivery records, provider information, and other relevant evidence.
Thapi may facilitate a resolution, refund, partial release, or payout where permitted by the order terms, provider rules, and applicable law. Chargebacks or reversals may affect an order even after an earlier status update.
User responsibilities and prohibited activity
You must not use Thapi for fraud, impersonation, money laundering, sham transactions, unlawful goods or services, sanctions evasion, stolen payment methods, account resale, abuse, or activity that infringes another person’s rights.
Do not move a protected transaction off-platform to avoid fees or safeguards after using Thapi to establish the deal. You must cooperate with reasonable verification, fraud-prevention, and dispute requests.
Third-party services
Thapi relies on providers including authentication, hosting, identity-verification, bank-resolution, communications, and payment partners. Their services may have separate terms, privacy notices, limits, maintenance windows, and compliance requirements.
We are not responsible for an external service outside our reasonable control, but we will take reasonable steps to select providers, protect integrations, and communicate material service issues.
Availability, suspension, and termination
We may update, restrict, suspend, or discontinue features to protect users, comply with law, address risk, maintain the service, or respond to provider requirements.
We may suspend or close an account for a serious or repeated breach, suspected fraud, failed verification, legal request, or unacceptable risk. Duties connected to existing orders, investigations, records, and amounts owed may survive account closure.
Disclaimers and limitation of liability
Thapi does not guarantee the quality, legality, safety, or suitability of a product or service offered by a user. Users remain responsible for due diligence and for terms they accept.
To the maximum extent permitted by law, Thapi is not liable for indirect, incidental, special, or consequential loss, lost profits, or loss caused by a user, provider outage, or event beyond our reasonable control. Nothing in these Terms excludes liability that cannot legally be excluded.
Governing law and changes
These Terms are governed by the laws of the Federal Republic of Nigeria. Parties should first try to resolve a complaint through Thapi support before pursuing another remedy, without limiting any right that cannot be waived.
We may update these Terms as the service, law, or provider requirements change. We will publish the revised date and give additional notice where a change is material. Continued use after the effective date means you accept the updated Terms.
